These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Customer,” “Subscriber,” or “Business”) and 3M Novelty Limited (“OneCedi®,” “Company,” “we,” “us,” or “our”).
By accessing or using OneCedi®, you agree to these Terms.
If you do not agree, you must not use the Service.
OneCedi® is a cloud-based Software-as-a-Service (SaaS) platform that provides business management tools including but not limited to:
Point of Sale (POS)
Inventory Management
Customer Relationship Management (CRM)
Accounting Modules
Reporting & Analytics
WooCommerce Synchronization
Human Resource Management (HRM)
Expense Tracking
Purchases & Supplier Management
Contact Management
Notifications and Alerts
Multi-branch support
The Service is accessible via web application, desktop interfaces, and mobile applications.
We reserve the right to modify, update, suspend, or discontinue any feature at any time without prior notice.
To use OneCedi®:
You must be at least 18 years old.
You must have the legal capacity to enter into a binding contract.
If registering on behalf of a business, you must have authority to bind that business.
By using the Service, you represent and warrant that you meet these requirements.
You must create an account to access the Service.
You agree to:
Provide accurate and complete information.
Maintain the security of your login credentials.
Notify us immediately of unauthorized use.
Ensure your employees, administrators, and staff comply with these Terms.
Account Roles include:
Owner
Administrator
Staff
The account Owner is fully responsible for all activity conducted under the account, including actions of administrators and staff.
We are not liable for loss resulting from unauthorized access caused by your failure to safeguard credentials.
OneCedi® operates on a subscription model.
Available plans may include:
Free Trial
Monthly Subscription
Annual Subscription
All subscriptions:
Are billed in Ghanaian Cedi (GHS)
Are processed through Paystack
Are payable in advance
Do not auto-renew unless expressly stated
Failure to make timely payment may result in suspension of access.
We reserve the right to modify pricing at any time with notice.
All payments made to OneCedi® are non-refundable.
This includes but is not limited to:
Dissatisfaction with features
Business closure
Staff misuse
User error
Failure to use the Service
Data loss caused by customer actions
Incorrect subscription selection
By subscribing, you acknowledge and agree to this no-refund policy.
If payment is not received by the due date:
Access may be suspended.
Features may be restricted.
Data access may be limited.
Continued non-payment may result in termination of the account.
You retain ownership of all business data entered into OneCedi®.
However, you grant OneCedi® a limited, non-exclusive license to:
Store
Process
Transmit
Backup
Your data for the purpose of operating and improving the Service.
We may use anonymized and aggregated data for analytics and product development.
We do not sell customer data.
Upon cancellation or termination:
Data may be retained for up to 90 days.
After 90 days, data may be permanently deleted.
You are responsible for exporting your data before termination.
Available export formats may include CSV, Excel, or PDF.
We are not responsible for data loss after the retention period expires.
You agree not to use OneCedi® to:
Sell firearms
Operate betting or gambling services
Conduct illegal business
Engage in money laundering
Promote pyramid schemes
Violate tax laws
Distribute malware
Attempt reverse engineering
Circumvent usage limits
Abuse system resources
Violation may result in immediate termination without refund.
All subscription plans are subject to usage limits, including but not limited to:
Storage limits
SMS limits
API usage limits
Branch limits
Staff account limits
Custom subscription plans may differ.
We reserve the right to monitor usage to ensure fair use and system stability.
Excessive or abusive use may result in suspension or additional charges.
OneCedi® does not process, hold, or transmit customer funds.
We integrate with third-party payment providers, including but not limited to Paystack, to enable payment functionality within the platform.
By using payment integrations, you acknowledge that:
OneCedi® is not a bank.
OneCedi® is not a financial institution.
OneCedi® does not provide payment settlement services.
OneCedi® is not responsible for payment failures, delays, chargebacks, reversals, frozen accounts, or disputes initiated through payment providers.
Your use of Paystack or any other third-party payment provider is governed solely by their terms and policies.
We are not liable for any losses resulting from actions taken by third-party payment processors.
OneCedi® provides tools to assist with business operations, including invoicing, accounting modules, expense tracking, and reporting.
However:
OneCedi® does not provide tax advice.
OneCedi® does not provide legal advice.
OneCedi® does not guarantee compliance with Ghana Revenue Authority (GRA) regulations or any other tax authority.
OneCedi® does not verify the accuracy of tax rates, VAT calculations, or regulatory filings.
You are solely responsible for:
Proper tax configuration
VAT settings
Regulatory compliance
Filing accurate returns
Meeting all local, national, and international tax obligations
Under no circumstances shall 3M Novelty Limited or OneCedi® be liable for:
Incorrect tax calculations
Regulatory penalties
Fines
Government audits
Compliance failures
Financial losses resulting from misconfiguration or misuse of the system
You acknowledge that the platform is a tool, and ultimate responsibility for compliance rests entirely with you.
This is non-negotiable.
We strive to maintain a target uptime of 99.5% per month.
However, uptime is not guaranteed.
Downtime may occur due to:
Scheduled maintenance
System upgrades
Infrastructure failures
Third-party service disruptions
Internet outages
Force majeure events
We may perform scheduled maintenance with at least 48 hours’ notice where reasonably possible.
OneCedi® shall not be liable for losses resulting from temporary service interruptions.

We do not guarantee response or resolution times unless explicitly agreed in a separate enterprise contract.
Support does not include:
Custom development
Legal advice
Tax advice
Third-party configuration outside our control
OneCedi® may integrate with third-party services including but not limited to:
Paystack
WooCommerce
SMS providers (e.g., txtconnect.net)
We do not control third-party services and are not responsible for:
API changes
Service outages
Data loss on third-party systems
Security breaches on external platforms
Discontinued integrations
Your use of third-party services is at your own risk.
All rights, title, and interest in and to OneCedi®, including:
Software
Source code
User interface
Design
Logos
Trademarks
Documentation
Are owned exclusively by 3M Novelty Limited.
You are granted a limited, non-transferable, non-exclusive license to use the platform during your active subscription.
You may not:
Copy the software
Reverse engineer it
Resell access
Distribute the system
License it to others
Use the branding without permission
Unauthorized use may result in immediate termination and legal action.
You agree to indemnify and hold harmless 3M Novelty Limited, its directors, employees, and affiliates from any claims, damages, liabilities, penalties, or legal expenses arising from:
Your misuse of the platform
Illegal business activities
Tax violations
Regulatory breaches
Sale of restricted products
Data misuse
Customer disputes
Employee misconduct
Violation of these Terms
This includes claims brought by government authorities.
You assume full responsibility for your business operations.
To the maximum extent permitted by law:
3M Novelty Limited shall not be liable for:
Loss of profits
Loss of revenue
Loss of data
Business interruption
Indirect damages
Consequential damages
Special damages
Punitive damages
Total liability shall not exceed the amount paid by you to OneCedi® in the one (1) month preceding the event giving rise to the claim.
If you paid nothing during that period, liability shall not exceed zero.
This limitation applies regardless of the legal theory asserted.
We may suspend or terminate your account if:
You violate these Terms
You fail to pay subscription fees
You engage in fraud
You misuse the platform
You operate restricted businesses
You endanger system integrity
Termination may occur without prior notice in cases of severe violations.
Upon termination:
Access will be revoked
Data retention policy (90 days) applies
No refunds will be issued
Before initiating any legal action, you agree to attempt to resolve disputes informally by contacting us at legal@palegoldenrod-bear-405374.hostingersite.com.
If unresolved, disputes shall be resolved by binding arbitration in Ghana.
You agree that:
Arbitration shall be conducted individually.
Class actions are prohibited.
You waive the right to participate in class or representative proceedings.
Arbitration decisions shall be final and binding.
Notwithstanding the above, we may seek injunctive relief in Ghana courts to protect intellectual property or prevent platform abuse.
These Terms shall be governed by the laws of the Republic of Ghana.
This section governs the use of SMS messaging services provided through OneCedi®.
By enabling or using SMS functionality within the platform, you agree to the terms below.
OneCedi® may provide transactional SMS services, including but not limited to:
Payment receipts
Order confirmations
Transaction alerts
System notifications
Business-generated customer alerts
SMS services are powered by third-party providers, including but not limited to txtconnect.net.
SMS credits are billed through OneCedi®.
You acknowledge and agree that:
SMS credits must be prepaid unless otherwise agreed.
Message pricing may vary depending on destination and carrier.
Unused SMS credits are non-refundable.
SMS charges are separate from subscription fees unless bundled in a specific plan.
All SMS purchases are final.
SMS delivery is subject to:
Mobile carrier limitations
Network availability
Recipient device settings
Government or regulatory restrictions
OneCedi® does not guarantee:
Message delivery
Delivery speed
Delivery confirmation
Carrier reliability
Carriers are not liable for delayed or undelivered messages.
You acknowledge that SMS services depend on third-party infrastructure outside our control.
You are solely responsible for ensuring that you have proper consent from recipients before sending SMS messages.
This includes:
Obtaining lawful opt-in where required
Complying with anti-spam laws
Respecting opt-out requests
Maintaining accurate contact lists
OneCedi® does not verify recipient consent.
You assume full legal responsibility for any SMS content you send.
You may not use SMS services to send:
Fraudulent messages
Phishing attempts
Illegal promotions
Gambling content
Adult content
Financial scams
Hate speech
Malware links
Violation may result in immediate termination of SMS services or full account suspension.
Where applicable, SMS messages must include opt-out instructions.
Recipients must be able to:
Reply STOP to unsubscribe
Reply HELP for assistance
You agree to honor opt-out requests immediately.
Failure to comply may result in suspension.
OneCedi® does not provide legal advice regarding SMS marketing regulations.
You are solely responsible for complying with:
Ghana communications regulations
Data protection laws
Consumer protection laws
International SMS laws where applicable
OneCedi® shall not be liable for regulatory penalties resulting from your SMS usage.
To the fullest extent permitted by law:
OneCedi® shall not be liable for:
Undelivered messages
Carrier filtering
Network congestion
Customer disputes
Regulatory fines
Revenue loss resulting from SMS failures
Total liability for SMS-related claims shall not exceed the SMS fees paid in the one (1) month preceding the claim.
We reserve the right to suspend SMS functionality if:
Abnormal sending patterns are detected
Spam complaints are received
Regulatory concerns arise
Payment for SMS credits is not received
These Terms, including the SMS Program Terms, constitute the entire agreement between you and 3M Novelty Limited regarding OneCedi®.
If any provision is found unenforceable, the remaining provisions remain in effect.
We may update these Terms at any time.
Continued use of OneCedi® after updates constitutes acceptance of revised Terms.
